Terms of Service
Please read these terms carefully before using Scholaris.
SCHOLARIS TERMS OF SERVICE
1. INTRODUCTION AND ACCEPTANCE
1.1 These Terms of Service ("Terms") constitute a legally binding agreement between SCHOLARIS ("Scholaris," "we," "us," "our") and: (a) any School that subscribes to or uses the Service; and (b) any individual user who accesses the Service under a School's account. Together referred to as "you" or "your" depending on context.
1.2 By creating an account, completing account setup (including invited users who set their password for the first time), or continuing to use the Service after being notified of these Terms, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy available at https://scholarishq.com/privacy.
1.3 If you are agreeing to these Terms on behalf of a School or other organisation, you represent and warrant that you have the authority to bind that organisation. If you do not have that authority, do not proceed.
1.4 If you do not agree to these Terms, you must not access or use the Service.
2. DEFINITIONS
The following terms have the meanings given below throughout this document.
"Account" means a registered Scholaris user profile associated with one or more Schools.
"Admin" means a user role with administrative privileges over a School's data, delegated by the School Owner.
"Authorised User" means any individual granted access to the Service under a School's subscription, including Owners, Admins, Teachers, and Parents.
"Content" means data, text, files, information, and other material submitted to or generated through the Service by Authorised Users.
"Data Processing Agreement" or "DPA" means the data processing agreement governing the processing of personal data under these Terms, available upon request.
"Intellectual Property Rights" means all patents, copyrights, trade marks, service marks, database rights, trade secrets, and any other intellectual or industrial property rights, whether registered or unregistered, anywhere in the world.
"Owner" means the individual or entity that creates a School account and holds primary responsibility for the School's use of the Service, also referred to as "Proprietor" within the app.
"Parent" means a user role with access limited to their linked child's records only.
"Privacy Policy" means the Scholaris Privacy Policy available at https://scholarishq.com/privacy, as updated from time to time.
"School" means an educational institution that subscribes to the Service under these Terms.
"School Data" means all Content submitted to or generated through the Service by a School and its Authorised Users, including student records, staff records, attendance data, academic data, fee records, and communications.
"Service" means the Scholaris mobile application, backend systems, and related services provided under these Terms.
"Subscription" means a School's paid or trial entitlement to access the Service under the applicable plan.
"Teacher" means a user role with access to assigned classes, students, and subject-level features.
3. THE SERVICE
3.1 Scholaris is a school management platform that enables Schools to manage student and staff records, attendance, academic performance, fee tracking, lesson planning, and parent communication through a mobile application.
3.2 The Service is delivered as a mobile application for Android and iOS devices. Compatibility with specific device models or operating system versions is not guaranteed. You are responsible for maintaining devices and software sufficient to use the Service.
3.3 We reserve the right to modify, update, or discontinue any feature of the Service at any time. Where a modification materially reduces the core functionality of the Service, we will provide at least 30 days' notice to School Owners. Your continued use of the Service after such notice constitutes acceptance of the modification.
3.4 We may make certain features available on a beta or preview basis. Beta features are provided "as is," may contain errors, and may be changed or withdrawn without notice. Your use of beta features is at your own risk.
3.5 The Service integrates with or links to third-party services including payment systems, email delivery, and external resources. We are not responsible for the availability, content, or practices of any third-party service. Your use of third-party services is governed by their own terms and policies.
4. ACCOUNT REGISTRATION AND ELIGIBILITY
4.1 To create a School account as an Owner, you must be at least 18 years of age, have legal authority to enter into contracts on behalf of the School, provide accurate and complete registration information, and not have been previously suspended or removed from the Service.
4.2 Teachers, Admins, and Parents access the Service through an invitation issued by a School Owner or Admin. By completing account setup following an invitation, you become an Authorised User bound by these Terms. You are responsible for ensuring your account information is accurate.
4.3 A single account may be affiliated with more than one School, each with a different role. Accepting an invitation to a School does not affect your membership with other Schools.
4.4 You are responsible for maintaining the confidentiality of your password and account credentials, for all activity that occurs under your account, and for notifying us immediately at support@scholarishq.com if you suspect unauthorised access. We are not liable for any loss resulting from your failure to maintain the security of your credentials.
4.5 You must keep your account information accurate and up to date. We reserve the right to suspend or terminate accounts where we reasonably believe information provided is false or misleading.
5. USER ROLES AND RESPONSIBILITIES
5.1 The Owner is the primary accountholder for the School. The Owner has full access to all School Data and settings, is responsible for all activity under the School's subscription including the conduct of Admins, Teachers, and Parents they invite, and is responsible for ensuring that use of the Service by all Authorised Users complies with these Terms and applicable laws. The Owner is also responsible for promptly revoking access for departed staff or any individual who should no longer have access.
5.2 Admins act on behalf of the School Owner and share similar management capabilities for day-to-day School operations. The Owner is responsible for the actions taken by Admins under the School's account.
5.3 Teachers may access and manage data for their assigned classes and students only. Teachers may submit lesson plans for review, record attendance, and view subject and schedule information within their authorised scope. Teachers must not attempt to access data outside their assigned scope.
5.4 Parents may view records relating to their linked child only, including academic information, fee balance, and attendance summaries. Parents must not share their login credentials with any other person.
5.5 The School Owner is responsible for ensuring that all Authorised Users are aware of and comply with these Terms. Any breach of these Terms by an Authorised User is deemed a breach by the School.
6. ACCEPTABLE USE
6.1 You may use the Service solely for lawful school management purposes in accordance with these Terms. You must not use the Service in any way that violates any applicable local, national, or international law or regulation.
6.2 You must not use the Service for any purpose other than legitimate school management and administration. You must not access or attempt to access data belonging to another School or another user outside your authorised scope. You must not attempt to reverse engineer, decompile, disassemble, or derive source code from the Service. You must not introduce malware, viruses, or other harmful code into the Service. You must not use automated tools, bots, scrapers, or scripts to access or interact with the Service. You must not overload or disrupt the infrastructure supporting the Service. You must not impersonate any person or provide false information to obtain access. You must not use the Service to store or transmit content that is unlawful, defamatory, obscene, or infringes any third party's rights. You must not resell, sublicense, or otherwise make the Service available to any third party except as expressly permitted. You must not remove or alter any proprietary notices or marks on the Service.
6.3 You are solely responsible for all School Data you submit to the Service. You represent and warrant that you have all necessary rights and permissions to submit the data, that the data does not infringe any third party's rights, that the data is accurate and lawfully obtained, and that for data relating to minors you have obtained all necessary parental or guardian consents as required by applicable law.
6.4 If you become aware of any misuse of the Service, including unauthorised access or data breaches, you must notify us promptly at support@scholarishq.com.
7. SUBSCRIPTIONS AND PAYMENT
7.1 Access to the Service requires an active Subscription. Details of available plans, features, and pricing are made available within the app and at https://scholarishq.com. We reserve the right to introduce, modify, or discontinue plans at any time with reasonable notice.
7.2 We may offer a free trial period for new Schools. At the end of the trial, continued access requires the purchase of a paid Subscription. We reserve the right to modify or end trial access at any time.
7.3 Subscriptions are billed in advance on a recurring basis, monthly or annually depending on the plan selected. You authorise us to charge your selected payment method for all fees due. All fees are exclusive of applicable taxes unless expressly stated otherwise. You are responsible for any taxes arising from your use of the Service.
7.4 We may change Subscription fees by providing at least 30 days' written notice to the School Owner before the change takes effect. If you do not accept the new price, you may cancel your Subscription before the change takes effect. Continued use of the Service after the effective date constitutes acceptance of the new pricing.
7.5 If a payment fails or is not received by the due date, we may suspend access to the Service after providing reasonable notice and terminate the Subscription if the outstanding amount remains unpaid for more than 30 days following suspension.
7.6 Fees paid are non-refundable except where required by applicable consumer protection law, or where we have materially failed to provide the Service as described and have not remedied the failure within a reasonable timeframe following written notice from you. We do not provide pro-rated refunds for partial periods where a School cancels mid-term.
7.7 If you dispute a charge, you must notify us at support@scholarishq.com within 30 days of the charge date. Chargebacks initiated without first contacting us may result in suspension of the Service.
8. INTELLECTUAL PROPERTY
8.1 All Intellectual Property Rights in the Service โ including the application, its underlying software, design, user interface, feature set, trade marks, logos, and any content we produce โ are and remain the exclusive property of Scholaris or our licensors. Nothing in these Terms transfers any ownership of our Intellectual Property to you.
8.2 Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Service solely for your internal school management purposes during the Subscription term.
8.3 You retain all Intellectual Property Rights in School Data you submit to the Service. By submitting School Data, you grant us a limited, non-exclusive licence to process, store, and use that data solely to provide the Service to you and as described in our Privacy Policy and DPA. We do not claim ownership of School Data.
8.4 If you submit feedback or suggestions about the Service through the in-app feedback feature or otherwise, you grant us a perpetual, irrevocable, royalty-free, worldwide licence to use that feedback for any purpose without compensation or attribution to you. We are under no obligation to act on any feedback submitted.
8.5 You must not use our trade marks, logos, or brand identity in any way without our prior written consent, and must not represent that your School is affiliated with, endorsed by, or sponsored by Scholaris without our written authorisation.
9. PRIVACY AND DATA PROTECTION
9.1 Our Privacy Policy governs the collection, use, and protection of personal data through the Service. By using the Service, you agree to the terms of our Privacy Policy.
9.2 The School acts as the data controller for all School Data and is responsible for ensuring that its collection and processing through the Service complies with applicable data protection law, including the Nigeria Data Protection Act 2023, the NDPR, and the GDPR where applicable.
9.3 We act as a data processor in respect of School Data and process it only on the School's instructions and in accordance with the DPA. A copy of our DPA is available upon request from support@scholarishq.com.
9.4 The School is responsible for obtaining all necessary consents and providing all required privacy notices to students, parents, staff, and other individuals whose data is entered into the Service. This includes obtaining explicit consent for special category data such as student health information and staff religious beliefs. The School is also responsible for ensuring the accuracy of all data entered and for managing data subject requests from its school community.
9.5 You must not enter into the Service any data for which you do not have a lawful basis to process. We are not responsible for any unlawful processing of personal data resulting from data submitted by you.
10. CONFIDENTIALITY
10.1 Each Party may receive confidential information belonging to the other Party in connection with the Service. Confidential Information includes account credentials, School Data, pricing information, product roadmaps, and any information designated as confidential.
10.2 Each Party agrees to keep the other Party's Confidential Information strictly confidential, to use it only for the purpose of exercising rights or fulfilling obligations under these Terms, and to disclose it only to employees or contractors who need to know it for those purposes and are bound by equivalent confidentiality obligations.
10.3 These obligations do not apply to information that is or becomes publicly known through no fault of the receiving Party, was rightfully known to the receiving Party before disclosure, is independently developed without reference to the Confidential Information, or is required to be disclosed by law, provided the receiving Party gives prompt prior written notice to the disclosing Party where permitted.
10.4 These confidentiality obligations survive termination of these Terms for a period of five years.
11. AVAILABILITY AND SUPPORT
11.1 We will use commercially reasonable efforts to make the Service available with minimal downtime. However, we do not guarantee uninterrupted availability. The Service may be unavailable due to scheduled maintenance, emergency maintenance or security incidents, or circumstances beyond our reasonable control.
11.2 Where possible, scheduled maintenance will be performed during off-peak hours and notified to School Owners in advance through the app or by email.
11.3 We provide support via email at support@scholarishq.com, WhatsApp at ++23 481 690 92228, and through the in-app help centre. Support is available during business hours, Monday to Friday 9am to 5pm WAT, unless otherwise stated. We will endeavour to respond to support requests within 2 business days but do not guarantee resolution timeframes for all issues.
11.4 We may release updates to the mobile application from time to time. Some updates may be required to continue using the Service. You are responsible for keeping the app updated to a supported version.
12. DISCLAIMERS
12.1 The Service is provided "as is" and "as available." To the fullest extent permitted by applicable law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
12.2 We do not warrant that the Service will meet your specific requirements, that it will be error-free or uninterrupted, that errors will be corrected within a specific timeframe, or that it will be compatible with all devices or third-party software.
12.3 Scholaris is a technology platform and not an educational, legal, financial, or compliance adviser. Nothing in the Service constitutes professional advice of any kind. Schools are solely responsible for ensuring their use of the Service complies with all applicable laws and regulations, including education sector laws, data protection law, and child protection legislation.
12.4 We do not verify the accuracy of data entered by Schools or their Authorised Users and are not responsible for decisions made on the basis of that data.
13. LIMITATION OF LIABILITY
13.1 To the fullest extent permitted by applicable law, Scholaris shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including loss of profits, revenue, business, goodwill, data, or anticipated savings, even if we have been advised of the possibility of such losses.
13.2 Our total aggregate liability to you under or in connection with these Terms, whether in contract, tort, breach of statutory duty, or otherwise, shall not exceed the greater of the total Subscription fees paid by you in the 12 months immediately preceding the claim, or USD 20.
13.3 Nothing in these Terms limits or excludes liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any liability that cannot be excluded under applicable law.
14. INDEMNIFICATION
14.1 You agree to indemnify, defend, and hold harmless Scholaris and its directors, officers, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses including reasonable legal fees, arising out of or relating to your use or misuse of the Service, your breach of these Terms, School Data you submit to the Service including any claim that such data was unlawfully collected or infringes a third party's rights, your failure to obtain required consents or provide required notices to data subjects, or the conduct of any Authorised User under your School's account.
14.2 We reserve the right to assume exclusive control of any matter subject to indemnification by you, in which case you agree to cooperate fully with us and not to settle any such claim without our prior written consent.
15. TERM AND TERMINATION
15.1 These Terms begin on the date you first access the Service and continue until your Subscription is terminated or expires.
15.2 You may cancel your Subscription at any time through account settings or by contacting support@scholarishq.com. Cancellation takes effect at the end of the current billing period. You remain responsible for fees due up to and including the cancellation date.
15.3 We may suspend or terminate your access to the Service immediately, with written notice where practicable, if you materially breach these Terms and fail to remedy the breach within 14 days of written notice where the breach is capable of remedy, if you commit a breach that is not capable of remedy such as fraud or unauthorised data access, if your Subscription fees remain unpaid for more than 30 days despite our attempts to collect, if we are required to do so by law, or if we decide to discontinue the Service, in which case we will provide at least 90 days' notice where reasonably practicable.
15.4 Upon termination or expiry, your licence to access the Service ends immediately, your Authorised Users will lose access, and your School Data will be retained for up to 90 days to allow you to export it before being securely deleted. You remain responsible for any outstanding fees. Sections 8, 10, 12, 13, 14, and 16 survive termination.
15.5 You may export your School Data in available formats through the Service or by requesting assistance from support@scholarishq.com during the 90-day retention period. After that period elapses, we cannot guarantee recovery of data.
16. GENERAL PROVISIONS
16.1 These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without reference to its conflict of law principles.
16.2 In the event of a dispute, the Parties shall first attempt to resolve it through good-faith negotiation, initiated by written notice describing the dispute in reasonable detail. If the dispute is not resolved within 30 days of such notice, either Party may submit it to the exclusive jurisdiction of the courts of Nigeria. Nothing in this clause prevents either Party from seeking urgent injunctive or equitable relief to prevent irreparable harm.
16.3 These Terms, together with the Privacy Policy and DPA incorporated by reference, constitute the entire agreement between the Parties in respect of the Service and supersede all prior representations and agreements relating to the same subject matter.
16.4 We may amend these Terms from time to time. We will notify School Owners of material changes by email and through an in-app notice at least 30 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance. If you do not accept the changes, you may terminate your Subscription before the effective date without penalty.
16.5 Neither Party shall be liable for any failure or delay in performance caused by circumstances beyond that Party's reasonable control, including natural disasters, acts of government, power or internet outages, third-party infrastructure failures, or pandemics. The affected Party shall give prompt notice and use commercially reasonable efforts to resume performance as soon as practicable.
16.6 Failure or delay by either Party to enforce any right or provision of these Terms does not constitute a waiver of that right. A waiver is only effective if made in writing.
16.7 If any provision of these Terms is found to be invalid or unenforceable, it shall be modified to the minimum extent necessary to make it enforceable. All other provisions shall remain in full force.
16.8 You may not assign, transfer, or sub-license your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations to an affiliate or successor entity upon written notice to you.
16.9 All legal notices to us under these Terms must be sent in by email to support@scholarishq.com with "Legal Notice" in the subject line. We may give notices to you via your registered email address or through in-app notifications.
16.10 Nothing in these Terms creates any partnership, joint venture, agency, employment, or fiduciary relationship between the Parties. You have no authority to make any representation or commitment on behalf of Scholaris.
16.11 These Terms do not confer any rights on any third party except as expressly stated.
16.12 These Terms are drafted in English. In the event of any conflict between the English version and a translation, the English version prevails.
17. MINORS AND STUDENT DATA
17.1 The Service is not directed at children under 13 for direct self-registration. Student records relating to minors are entered and managed by the School, not by the students themselves.
17.2 Schools are solely responsible for ensuring they are authorised to collect and process the personal data of minor students through the Service, obtaining valid parental or guardian consent before entering any minor's data โ particularly health data, photographs, or special category data โ and complying with all applicable child protection and education data laws in their jurisdiction.
17.3 If we discover that a School has entered data relating to a minor without appropriate consent, we reserve the right to require the School to delete that data. We are not liable for any breach by the School of applicable child protection laws.

6.4 If you become aware of any misuse of the Service, including unauthorised access or data breaches, you must notify us promptly at support@scholarishq.com.
7. SUBSCRIPTIONS AND PAYMENT
7.1 Access to the Service requires an active Subscription. Details of available plans, features, and pricing are made available within the app and at https://scholarishq.com. We reserve the right to introduce, modify, or discontinue plans at any time with reasonable notice.
7.2 We may offer a free trial period for new Schools. At the end of the trial, continued access requires the purchase of a paid Subscription. We reserve the right to modify or end trial access at any time.
7.3 Subscriptions are billed in advance on a recurring basis, monthly or annually depending on the plan selected. You authorise us to charge your selected payment method for all fees due. All fees are exclusive of applicable taxes unless expressly stated otherwise. You are responsible for any taxes arising from your use of the Service.
7.4 We may change Subscription fees by providing at least 30 days' written notice to the School Owner before the change takes effect. If you do not accept the new price, you may cancel your Subscription before the change takes effect. Continued use of the Service after the effective date constitutes acceptance of the new pricing.
7.5 If a payment fails or is not received by the due date, we may suspend access to the Service after providing reasonable notice and terminate the Subscription if the outstanding amount remains unpaid for more than 30 days following suspension.
7.6 Fees paid are non-refundable except where required by applicable consumer protection law, or where we have materially failed to provide the Service as described and have not remedied the failure within a reasonable timeframe following written notice from you. We do not provide pro-rated refunds for partial periods where a School cancels mid-term.
7.7 If you dispute a charge, you must notify us at support@scholarishq.com within 30 days of the charge date. Chargebacks initiated without first contacting us may result in suspension of the Service.
8. INTELLECTUAL PROPERTY
8.1 All Intellectual Property Rights in the Service โ including the application, its underlying software, design, user interface, feature set, trade marks, logos, and any content we produce โ are and remain the exclusive property of Scholaris or our licensors. Nothing in these Terms transfers any ownership of our Intellectual Property to you.
8.2 Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Service solely for your internal school management purposes during the Subscription term.
8.3 You retain all Intellectual Property Rights in School Data you submit to the Service. By submitting School Data, you grant us a limited, non-exclusive licence to process, store, and use that data solely to provide the Service to you and as described in our Privacy Policy and DPA. We do not claim ownership of School Data.
8.4 If you submit feedback or suggestions about the Service through the in-app feedback feature or otherwise, you grant us a perpetual, irrevocable, royalty-free, worldwide licence to use that feedback for any purpose without compensation or attribution to you. We are under no obligation to act on any feedback submitted.
8.5 You must not use our trade marks, logos, or brand identity in any way without our prior written consent, and must not represent that your School is affiliated with, endorsed by, or sponsored by Scholaris without our written authorisation.
9. PRIVACY AND DATA PROTECTION
9.1 Our Privacy Policy governs the collection, use, and protection of personal data through the Service. By using the Service, you agree to the terms of our Privacy Policy.
9.2 The School acts as the data controller for all School Data and is responsible for ensuring that its collection and processing through the Service complies with applicable data protection law, including the Nigeria Data Protection Act 2023, the NDPR, and the GDPR where applicable.
9.3 We act as a data processor in respect of School Data and process it only on the School's instructions and in accordance with the DPA. A copy of our DPA is available upon request from support@scholarishq.com.
9.4 The School is responsible for obtaining all necessary consents and providing all required privacy notices to students, parents, staff, and other individuals whose data is entered into the Service. This includes obtaining explicit consent for special category data such as student health information and staff religious beliefs. The School is also responsible for ensuring the accuracy of all data entered and for managing data subject requests from its school community.
9.5 You must not enter into the Service any data for which you do not have a lawful basis to process. We are not responsible for any unlawful processing of personal data resulting from data submitted by you.
10. CONFIDENTIALITY
10.1 Each Party may receive confidential information belonging to the other Party in connection with the Service. Confidential Information includes account credentials, School Data, pricing information, product roadmaps, and any information designated as confidential.
10.2 Each Party agrees to keep the other Party's Confidential Information strictly confidential, to use it only for the purpose of exercising rights or fulfilling obligations under these Terms, and to disclose it only to employees or contractors who need to know it for those purposes and are bound by equivalent confidentiality obligations.
10.3 These obligations do not apply to information that is or becomes publicly known through no fault of the receiving Party, was rightfully known to the receiving Party before disclosure, is independently developed without reference to the Confidential Information, or is required to be disclosed by law, provided the receiving Party gives prompt prior written notice to the disclosing Party where permitted.
10.4 These confidentiality obligations survive termination of these Terms for a period of five years.
11. AVAILABILITY AND SUPPORT
11.1 We will use commercially reasonable efforts to make the Service available with minimal downtime. However, we do not guarantee uninterrupted availability. The Service may be unavailable due to scheduled maintenance, emergency maintenance or security incidents, or circumstances beyond our reasonable control.
11.2 Where possible, scheduled maintenance will be performed during off-peak hours and notified to School Owners in advance through the app or by email.
11.3 We provide support via email at support@scholarishq.com, WhatsApp at ++23 481 690 92228, and through the in-app help centre. Support is available during business hours, Monday to Friday 9am to 5pm WAT, unless otherwise stated. We will endeavour to respond to support requests within 2 business days but do not guarantee resolution timeframes for all issues.
11.4 We may release updates to the mobile application from time to time. Some updates may be required to continue using the Service. You are responsible for keeping the app updated to a supported version.
12. DISCLAIMERS
12.1 The Service is provided "as is" and "as available." To the fullest extent permitted by applicable law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
12.2 We do not warrant that the Service will meet your specific requirements, that it will be error-free or uninterrupted, that errors will be corrected within a specific timeframe, or that it will be compatible with all devices or third-party software.
12.3 Scholaris is a technology platform and not an educational, legal, financial, or compliance adviser. Nothing in the Service constitutes professional advice of any kind. Schools are solely responsible for ensuring their use of the Service complies with all applicable laws and regulations, including education sector laws, data protection law, and child protection legislation.
12.4 We do not verify the accuracy of data entered by Schools or their Authorised Users and are not responsible for decisions made on the basis of that data.
13. LIMITATION OF LIABILITY
13.1 To the fullest extent permitted by applicable law, Scholaris shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including loss of profits, revenue, business, goodwill, data, or anticipated savings, even if we have been advised of the possibility of such losses.
13.2 Our total aggregate liability to you under or in connection with these Terms, whether in contract, tort, breach of statutory duty, or otherwise, shall not exceed the greater of the total Subscription fees paid by you in the 12 months immediately preceding the claim, or USD 20.
13.3 Nothing in these Terms limits or excludes liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any liability that cannot be excluded under applicable law.
14. INDEMNIFICATION
14.1 You agree to indemnify, defend, and hold harmless Scholaris and its directors, officers, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses including reasonable legal fees, arising out of or relating to your use or misuse of the Service, your breach of these Terms, School Data you submit to the Service including any claim that such data was unlawfully collected or infringes a third party's rights, your failure to obtain required consents or provide required notices to data subjects, or the conduct of any Authorised User under your School's account.
14.2 We reserve the right to assume exclusive control of any matter subject to indemnification by you, in which case you agree to cooperate fully with us and not to settle any such claim without our prior written consent.
15. TERM AND TERMINATION
15.1 These Terms begin on the date you first access the Service and continue until your Subscription is terminated or expires.
15.2 You may cancel your Subscription at any time through account settings or by contacting support@scholarishq.com. Cancellation takes effect at the end of the current billing period. You remain responsible for fees due up to and including the cancellation date.
15.3 We may suspend or terminate your access to the Service immediately, with written notice where practicable, if you materially breach these Terms and fail to remedy the breach within 14 days of written notice where the breach is capable of remedy, if you commit a breach that is not capable of remedy such as fraud or unauthorised data access, if your Subscription fees remain unpaid for more than 30 days despite our attempts to collect, if we are required to do so by law, or if we decide to discontinue the Service, in which case we will provide at least 90 days' notice where reasonably practicable.
15.4 Upon termination or expiry, your licence to access the Service ends immediately, your Authorised Users will lose access, and your School Data will be retained for up to 90 days to allow you to export it before being securely deleted. You remain responsible for any outstanding fees. Sections 8, 10, 12, 13, 14, and 16 survive termination.
15.5 You may export your School Data in available formats through the Service or by requesting assistance from support@scholarishq.com during the 90-day retention period. After that period elapses, we cannot guarantee recovery of data.
16. GENERAL PROVISIONS
16.1 These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without reference to its conflict of law principles.
16.2 In the event of a dispute, the Parties shall first attempt to resolve it through good-faith negotiation, initiated by written notice describing the dispute in reasonable detail. If the dispute is not resolved within 30 days of such notice, either Party may submit it to the exclusive jurisdiction of the courts of Nigeria. Nothing in this clause prevents either Party from seeking urgent injunctive or equitable relief to prevent irreparable harm.
16.3 These Terms, together with the Privacy Policy and DPA incorporated by reference, constitute the entire agreement between the Parties in respect of the Service and supersede all prior representations and agreements relating to the same subject matter.
16.4 We may amend these Terms from time to time. We will notify School Owners of material changes by email and through an in-app notice at least 30 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance. If you do not accept the changes, you may terminate your Subscription before the effective date without penalty.
16.5 Neither Party shall be liable for any failure or delay in performance caused by circumstances beyond that Party's reasonable control, including natural disasters, acts of government, power or internet outages, third-party infrastructure failures, or pandemics. The affected Party shall give prompt notice and use commercially reasonable efforts to resume performance as soon as practicable.
16.6 Failure or delay by either Party to enforce any right or provision of these Terms does not constitute a waiver of that right. A waiver is only effective if made in writing.
16.7 If any provision of these Terms is found to be invalid or unenforceable, it shall be modified to the minimum extent necessary to make it enforceable. All other provisions shall remain in full force.
16.8 You may not assign, transfer, or sub-license your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations to an affiliate or successor entity upon written notice to you.
16.9 All legal notices to us under these Terms must be sent in by email to support@scholarishq.com with "Legal Notice" in the subject line. We may give notices to you via your registered email address or through in-app notifications.
16.10 Nothing in these Terms creates any partnership, joint venture, agency, employment, or fiduciary relationship between the Parties. You have no authority to make any representation or commitment on behalf of Scholaris.
16.11 These Terms do not confer any rights on any third party except as expressly stated.
16.12 These Terms are drafted in English. In the event of any conflict between the English version and a translation, the English version prevails.
17. MINORS AND STUDENT DATA
17.1 The Service is not directed at children under 13 for direct self-registration. Student records relating to minors are entered and managed by the School, not by the students themselves.
17.2 Schools are solely responsible for ensuring they are authorised to collect and process the personal data of minor students through the Service, obtaining valid parental or guardian consent before entering any minor's data โ particularly health data, photographs, or special category data โ and complying with all applicable child protection and education data laws in their jurisdiction.
17.3 If we discover that a School has entered data relating to a minor without appropriate consent, we reserve the right to require the School to delete that data. We are not liable for any breach by the School of applicable child protection laws.
